# Atom Terms of Service (ATOS) Last Updated: November 4, 2025 PLEASE READ THIS ATOM TERMS OF SERVICE AGREEMENT CAREFULLY, AS IT CONTAINS IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS AND REMEDIES INCLUDING CONSENT TO MANDATORY ARBITRATION FOR ANY DISPUTES ARISING OUT OF THIS AGREEMENT OR ANY SERVICE AGREEMENT. Welcome to Atom, which is provided by Squadhelp LLC (collectively such entities will be referred to as "**Atom**", "we" or "us"). These **Atom Terms of Service (“ATOS”)**  (this “Agreement”) is entered into between you and Atom effective as of the date or your use of [www.atom.com](https://www.atom.com/) (the “ **Website**”) or the date of electronic acceptance. This Agreement governs your access to and use of the “ **Website**” as well as any and all content, functionality and services offered on or through the Website (collectively, the “ **Services**”).  Any agreements, arrangements and/or additional policies that apply to certain Services (" **Services Agreements**") and are in addition to (not in lieu of) this Agreement. In the event of a conflict between the provisions of a Services Agreement and the provisions of this Agreement, the provisions of the applicable Services Agreement shall control. We may amend this Agreement at any time by posting the amended terms on our Website.  In addition, we may occasionally notify you of changes or modifications to this Agreement and/or any Services Agreement by e-mail.  Therefore, it is critical to keep all of your information current in your Atom account.  We assume no liability or responsibility for your failure to receive an email notification if such failure results from an inaccurate email address. By accessing, registering for or using the Services, you represent, warrant and covenant: - you are at least 18 years of age; - you agree to be bound by this Agreement, any applicable Service Agreement, and all Atom policies and guidelines referenced in this Agreement, an applicable Service Agreement or incorporated into this Agreement by reference; - you have the legal power and authority to enter this Agreement on behalf of yourself or the person or entity you represent; and - you will not abuse or misuse the Service or misrepresent your identity to us ### 1. Definitions "Atom", "we", "us", "our" refer to Atom and its affiliates that provide the Services. "You" or "Your" means the individual or entity using the Services. "Services" means all products, websites, applications, and online or offline offerings provided by Atom, including without limitation creative contests, the Atom Marketplace, domain registration, DNS and forwarding, brokerage, portfolio management, and related services. "Content" means all text, data, information, graphics, audio, video, and other material available through the Services. "User Content" or "Member Content" refers to Content provided by a User or Member, including Entries, listings, messages, and feedback. "User" means any person or entity that accesses or uses the Services, whether or not they have created an account. "Member" means a User who has created an account with Atom to access or use any Service. A Member may act in one or more roles – such as Buyer, Creative, Seller, or Registrant – depending on which Services they use. All Members are Users, but not all Users are Members. ### 2. Your Agreement with Us; Order of Precedence 1. **Contracting Entity.** Your agreement is with Atom and, where relevant, its affiliates or service providers that operate a particular Service. References to "we," "us," or "our" mean that contracting entity. 2. **Binding Agreement.** By creating an account, using any Service, or otherwise indicating acceptance, you agree to be bound by: - these Atom Terms of Service; - any Service Agreement or Addendum that applies to the specific Service you use (for example, the Marketplace & Creative Services Addendum or the Domain Registration Services Addendum); - and any Guidelines or policies that we publish on our Website and reference in those documents. - Together, these documents form the Agreement. 3. **Supplemental Terms for Specific Services.** Certain Services—such as domain registration, DNS hosting, or creative Contests—are governed by one or more Service Agreements that include additional rights and responsibilities. Those Service Agreements are incorporated by reference into this Agreement and apply in addition to these ATOS whenever you use the related Service. ### 3. Acceptable Use 1. General Obligation. You agree to use the Services lawfully, responsibly, and only for their intended purposes. You must comply with these ATOS, all applicable Guidelines, and any Service Agreement that applies to the specific Service you use. 2. Prohibited Conduct. You may not, directly or indirectly: 01. use the Services in any way that violates any law, regulation, or the rights of others; 02. upload, post, transmit, or otherwise make available any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable; 03. infringe or misappropriate any Intellectual Property Right, trade secret, or other proprietary right; 04. send spam, chain letters, junk mail, or any other form of unsolicited or duplicative messages; 05. upload or distribute malware, viruses, spyware, or any code intended to disrupt or damage systems or data; 06. forge headers or otherwise manipulate identifiers to disguise the origin of any communication; 07. interfere with, disrupt, or degrade the operation or security of the Services, any servers or networks connected to the Services, or any other User’s experience; 08. attempt to gain unauthorized access to any portion of the Services, another User’s account, or any computer system or network. ### 4. Payments, Credits, Taxes, and Refunds 1. **Payments.** All payments for Services must be made through one of Atom’s authorized payment providers. By submitting payment information, you authorize Atom or its payment processor to charge the specified amount. Transactions are not complete until verified and accepted by Atom. 2. **Withdrawals.** You may request a withdrawal of eligible Dollar Credits at any time through a supported method (such as PayPal or Payoneer). Withdrawals are subject to account verification, identity confirmation, and compliance checks. Atom may withhold or delay a withdrawal to address chargebacks, refunds, or suspected fraud. All withdrawals are made in U.S. dollars unless otherwise specified, and you bear the risk of any currency conversion losses. 3. **Refunds.** Refunds are governed by Atom’s Refund Policy and any applicable Service Agreement. ### 5. Intellectual Property 1. **Ownership of Atom Materials.** Atom owns all Intellectual Property Rights in and to the Services, including all software, databases, systems, interfaces, and visual designs, except for User Content as defined below. 2. **Your Content.** You retain ownership of all Intellectual Property Rights in your User Content. By submitting, uploading, or otherwise providing User Content through the Services, you grant Atom a worldwide, non-exclusive, transferable, sublicensable, royalty-free license to host, reproduce, display, distribute, and otherwise use your User Content as necessary to operate, promote, and improve the Services. This license continues for as long as your User Content remains on or is used in connection with the Services. ### 6. Privacy and Data Use 1. **Privacy Policy.** Your use of the Services is subject to Atom’s Privacy Policy, which is incorporated into these ATOS by reference. 2. **Data Shared for Service Delivery.** To provide the Services, Atom may collect and share certain information with its affiliates, service providers, payment processors, registries, and other trusted partners. 3. **Registration Data and ICANN Requirements.** For Domain Registration Services, you acknowledge and agree that Atom is required to collect, process, and share your registration data with registries, ICANN, escrow providers, and data-escrow agents. ### 7. Suspension and Termination 1. **Suspension of Services.** Atom may suspend or restrict your User Account or access to any Service at any time, with or without notice, if Atom determines that you have violated these ATOS, any Service Agreement, or any applicable law. 2. **Termination by User.** You may terminate your User Account at any time through your account settings or by contacting Atom. ### 8. Disclaimers and Limitation of Liability 1. NO WARRANTY. THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. 2. **Limitation of Liability.** TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATOM AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SERVICE PROVIDERS WILL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES. ### 9. Indemnification 1. **Your Obligation to Indemnify.** You agree to indemnify, defend, and hold harmless Atom, its affiliates, officers, directors, employees, contractors, and service providers from and against any and all claims arising out of or relating to your use of the Services; your breach of these ATOS or any applicable Service Agreement. ### 10. Dispute Resolution and Arbitration 1. **Agreement to Arbitrate.** Any dispute, claim, or controversy between you and Atom will be resolved by final and binding arbitration instead of in court. 2. **Opting Out of Arbitration.** YOU MAY CHOOSE TO OPT OUT OF THIS AGREEMENT TO ARBITRATE by sending Atom written notice within thirty (30) days after first accepting these ATOS. ### 11. General Terms 1. **Entire Agreement.** These ATOS, together with any applicable Service Agreements and incorporated policies, constitute the entire agreement between you and Atom. 2. **Amendments.** Atom may amend these ATOS at any time by posting the updated version on its Website or by providing notice through your User Account.
